1. Overview

The FOC Rewards Program (the "Program") is a promotional loyalty program operated by DSTLRY Media, Inc. d/b/a Neon Ichiban ("Ichiban," "we," "us," or "our") through the website located at focrewards.com (the "Program Site") and neonichiban.com. The Program allows eligible participants ("Participants") to earn digital store credit or other rewards ("Reward Credit") redeemable on the Neon Ichiban digital comics and manga platform located at neonichiban.com (the "Platform").

These FOC Rewards Program Terms and Conditions (these "Program Terms") govern your participation in the Program. By participating in the Program, you agree to be bound by these Program Terms, as well as the Neon Ichiban Terms of Service and the Privacy Policy, which are incorporated herein by reference. In the event of a conflict between these Program Terms and the Neon Ichiban Terms of Service, these Program Terms shall control with respect to the Program.

2. Eligibility

To participate in the Program, you must:

• Be a legal resident of the United States
• Be at least 18 years of age (or the age of majority in your state, whichever is greater)
• Have a valid Neon Ichiban account in good standing
• Have access to a physical comic book retailer that carries the eligible title(s)
• Not be an employee, officer, director, or contractor of DSTLRY Media, Inc. or its affiliates, or an immediate family member or household member of any such person

Participation in the Program is void where prohibited or restricted by applicable federal, state, or local law. We reserve the right to verify eligibility at any time and to disqualify any Participant who does not meet the requirements above.

3. How the Program Works

3.1 Earning Reward Credit

The Program operates on a per-title, per-campaign basis. Each eligible title will have its own campaign with specific dates and credit amounts posted on the Program Site. Currently, Participants may earn Reward Credit in two steps:

• Step 1 — Pre-Order and Proof of Pre-Order: Before the applicable Final Order Cutoff ("FOC") date, submit a claim on the Program Site identifying the title pre-ordered, the comic shop where the pre-order was placed, and upload photographic proof of the pre-order (e.g., a receipt, confirmation email, or order screenshot). If verified, you will receive up to $2.50 in Reward Credit.
• Step 2 — In-Store Pickup Verification: On or after the title's release date, visit the comic shop where you placed your pre-order, pick up your physical copy, and submit a photograph of the book taken inside the shop. We may verify your location using device geolocation data. If verified, you will receive an additional $2.50 in Reward Credit.

The total maximum Reward Credit available per title per Participant is $5.00, unless otherwise stated in the applicable campaign. The total amount of Reward Credit available across all Participants for each campaign is limited and subject to availability. We may cap the number of approved claims per campaign at any time and without prior notice. Once a campaign's credit allocation has been exhausted, no further claims for that campaign will be approved, regardless of when they were submitted. Credit amounts, earning methods, and campaign structures are subject to change at our sole discretion.

3.2 Verification and Approval

All claims are subject to our review and verification. We reserve the right, in our sole discretion, to:

• Reject any claim that we determine to be fraudulent, incomplete, duplicative, or otherwise non-compliant with these Program Terms
• Require additional documentation or information to verify a claim
• Use geolocation data, image analysis, and other reasonable means to verify in-store pickup
• Revoke Reward Credit that was issued based on a claim later determined to be ineligible or fraudulent

Claims must be submitted within the timeframes specified for each campaign on the Program Site. Late claims will not be accepted.

4. Reward Credit Terms

• Redemption: Reward Credit may only be applied toward the purchase of digital comics, manga, and related content on the Neon Ichiban Platform. Reward Credit is applied at checkout and reduces the amount owed by the Participant.
• No Cash Value: Reward Credit has no cash value, is not redeemable for cash, and cannot be withdrawn from your Neon Ichiban account. Reward Credit cannot be exchanged for cryptocurrency or any other form of currency or value.
• Non-Transferable: Reward Credit is non-transferable and may not be sold, bartered, assigned, or otherwise transferred to another person or account.
• Expiration: Unless otherwise specified in the applicable campaign, Reward Credit expires 180 days (approximately 6 months) from the date it is issued to your account. Expired Reward Credit will be forfeited without notice or compensation.
• No Stacking with Account Balance: Reward Credit is tracked separately from any funds in your Neon Ichiban account balance derived from marketplace resales. Reward Credit cannot be combined with or converted to your marketplace account balance.
• Limit: Each Participant is limited to one (1) claim per title per campaign. Duplicate claims for the same title will be rejected.
• Taxes: You are solely responsible for any tax obligations arising from the receipt or use of Reward Credit, to the extent required by applicable law.

5. Data Collection and Privacy

By participating in the Program, you acknowledge and consent to the collection and processing of the following data in connection with your claims:

• Photographic Evidence: Images you upload as proof of pre-order and in-store pickup, which may include visible personal information, store details, and receipt contents.
• Location Data: Device geolocation data collected at the time of in-store pickup verification, used solely to confirm that you are physically present at the designated comic shop.
• Transaction Information: Details about your pre-order, including the title, comic shop name, and any order identifiers.

All data collected in connection with the Program is processed in accordance with the Neon Ichiban Privacy Policy. Photographic evidence and location data collected for verification purposes will be retained for a period of 90 days following claim approval (or rejection), after which it will be deleted unless required for fraud investigation or legal compliance. You may request deletion of your Program data at any time by contacting us at support@neonichiban.com, subject to applicable legal retention requirements.

We will not sell, rent, or share your Program data with third parties for their marketing purposes. Program data may be shared with our service providers (e.g., cloud hosting, payment processing) solely as necessary to operate and administer the Program.

6. Program Modification and Termination

We reserve the right, at our sole discretion and at any time, to modify, suspend, or terminate the Program, in whole or in part, with or without notice. This includes, without limitation, the right to:

• Change the amount of Reward Credit available per title or per campaign
• Modify the earning structure, verification requirements, or redemption terms
• Add, remove, or modify eligible titles and campaigns
• Impose additional eligibility requirements
• Discontinue the Program entirely

In the event we terminate the Program, any Reward Credit already issued to your account will remain valid and redeemable until its expiration date, unless otherwise required by law. We will use commercially reasonable efforts to provide notice of material changes to these Program Terms via the Program Site or email, but are not obligated to do so.

7. Prohibited Conduct

The following conduct is strictly prohibited and may result in immediate disqualification from the Program, forfeiture of all Reward Credit, and/or suspension or termination of your Neon Ichiban account:

• Submitting false, fabricated, or misleading proof of pre-order or pickup
• Using another person's receipt, order confirmation, or identity to make a claim
• Spoofing or manipulating location data
• Creating multiple Neon Ichiban accounts to claim additional Reward Credit
• Attempting to sell, trade, or transfer Reward Credit
• Any other conduct that we determine, in our sole discretion, constitutes abuse of the Program

8. Limitation of Liability

To the maximum extent permitted by applicable law, Ichiban and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your participation in the Program, including but not limited to loss of Reward Credit, inability to redeem Reward Credit, or Program modification or termination. Our total liability to you in connection with the Program shall not exceed the total amount of Reward Credit issued to your account in the 12 months preceding the claim.

9. Dispute Resolution

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Any disputes arising out of or relating to the Program or these Program Terms shall be resolved in accordance with the dispute resolution and arbitration provisions set forth in the Neon Ichiban Terms of Service, which are incorporated herein by reference. To the extent the Neon Ichiban Terms of Service require binding arbitration, that requirement applies equally to disputes arising under these Program Terms. You agree that any arbitration will be conducted on an individual basis, not as a class, consolidated, or representative action.

10. Governing Law

These Program Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws principles, except to the extent preempted by federal law. You and Ichiban agree to submit to the personal jurisdiction of the state and federal courts located in New York County, New York for any actions not subject to arbitration.

12. Relationship to Neon Ichiban Terms of Service

The Program is a feature of the Neon Ichiban Platform. Your use of the Platform, including the redemption of Reward Credit, is governed by the Neon Ichiban Terms of Service. These Program Terms supplement, and do not replace, the Neon Ichiban Terms of Service.
